Honigman was formed as a corporate law firm 75 years ago. The firm was built on a work ethic commensurate with the times and an unwavering commitment to excellence. At that time, most of the firm’s clients were based in and around Detroit, Michigan, the automobile capital of the world.

A substantial number of our 140 corporate attorneys are devoted to Mergers & Acquisitions, including Private Equity. Honigman consistently ranks among the most active law firms nationally based on completed transactions. Since January 1, 2020, we have closed over 2,000 acquisition and divestiture transactions.
In addition to M&A and Private Equity, our corporate group encompasses a broad range of other specialties, each of which has earned independent acclaim from clients and peers.
Our Public Company, Securities and Governance attorneys represent public companies across a broad spectrum of market capitalizations, industries and ownership structures. Our team serves as trusted advisors to senior management and boards of directors on matters involving corporate governance, reporting and compliance (including Exchange Act and securities exchange reporting), public and private securities offerings, executive compensation, shareholder activism and investor relations. We are recognized nationally for our depth of expertise. We counsel clients on ordinary course financial, operational, commercial and strategic planning matters as well as extraordinary transactions, such as proxy contests, takeover defense and mergers and acquisitions. Our Finance Group works with clients to fund growth and better align their capital structures to achieve economic efficiencies. Attorneys within our Finance Group are experienced in structuring and executing a wide range of public and private financing transactions, including hybrid transactions involving multiple asset classes and syndicates of capital providers, each with differing interests. Our Technology Transactions and Data Privacy, Privacy and Cybersecurity Groups focus on the intersection of law and technology to help clients manage and protect intellectual property and data assets and comply with evolving global privacy and information security laws and regulations. We partner with our clients to identify, acquire and monetize IT and IP assets, regularly advising on licensing, cloud services agreements and the management and protection of business-critical data and intellectual property. Our Tax Group works closely with our M&A and Private Equity teams to structure and negotiate domestic and cross-border merger, acquisition, financing and other transactions. We are experienced in both taxable and tax-free transactions involving public and private acquirers and targets of all types and sizes. Our Tax Group also works extensively with our Real Estate department on a wide variety of matters, such as choice of entity, publicly traded and private REITs, tax credit and opportunity zone investments and tax-free like-kind exchanges. Our Venture Capital Group represents clients involved in all aspects of financing, operation and sale of technology-based companies in the U.S. and other parts of the world. Our technology-based clients cover a broad range of industries from software to drug therapies. We represent both investors and their portfolio companies throughout the life span of growth, ranging from seed capital to growth equity for later-stage enterprises.
