POSITION SUMMARY, RESPONSIBILITIES AND QUALIFICATIONS
With decades of experience advising multinational public corporations, as well as private middle-market and smaller businesses, Honigman’s Commercial Transactions team possesses the judgment, experience, and skill necessary to meet mission-critical challenges head on. We understand the complex and interdependent relationships between manufacturers, suppliers, equity holders, strategic partners, financiers, and customers, and we identify and address potential issues to minimize risk while furthering opportunity. Our practice includes advising on international, large-scale and day-to-day transactions in complex commercial agreements, troubled supplier and supply chain management, insolvency matters and distressed M&A, restructurings and workouts, export compliance, and minority and women-owned businesses.
KEY RESPONSIBILITIES
- Assist with complex commercial transaction matters in procurement and supply chain, including:
- Drafting, reviewing, and negotiating a wide range of complex commercial agreements, including purchasing and supply agreements, outsourcing agreements, service agreements, and technology agreements.
- Providing legal analysis, litigation and dispute resolution support, due diligence and other support on a variety of legal issues related to commercial transactions.
- Assisting in the development of legal strategies to help manage supplier risk and ensure compliance with laws and regulations.
- Participating in the continuous improvement of standard form agreements and legal processes.
- Deliver high quality work-product and effectively communicate at all levels of Honigman and its clients;
- Demonstrate excellent problem solving skills and high energy and enthusiasm for corporate counseling in the relevant client sector;
- Exhibit highly responsive, creative and efficient work habits;
- Strive to continuously improve knowledge, skills and abilities and seek guidance and feedback to improve performance and productivity;
- Take responsibility for enhancing expertise, in addition to seeking out formal and informal training;
- Integrate into the practice and build strong relationships with clients and within Honigman; and
- Demonstrate a long-term interest in networking with existing clients and developing business opportunities.
QUALIFICATIONS
- 2 to 4 years complex commercial transactions experience in a law firm or corporate legal department, ideally in procurement and supply chain;
- Skilled in working across diverse industry lines including automotive (OEM and tiered suppliers), general manufacturing, private equity and technology;
- Substantive knowledge of Article 2 and Article 9 of the UCC;
- Ability to organize and prioritize numerous tasks and complete them under significant time constraints;
- Outstanding interpersonal, analytical, organizational, and communication (written and verbal) skills;
- J.D. degree from an ABA-accredited institution;
- Licensed Illinois or Michigan, attorney in good standing (or with ability to waive into either jurisdiction); and
- Ability to travel as client needs require.

- Providing legal analysis, due diligence and other support on a variety of legal issues related to technology transactions, including intellectual property issues.
- Assisting in the development of legal strategies to help manage privacy and information security risk and ensure compliance with laws and regulations, including privacy and data security laws and regulations.
- Participating in the continuous improvement of standard form agreements and legal processes.
