Honigman partners Donald J. Kunz and Phillip D. Torrence have been named to the Law360’s seven-member Capital Markets Editorial Advisory Board. Law360 is an online news source covering corporate deals, litigation, legislation and regulation, major personnel moves, and legal industry news and trends. The Capital Markets section provides the latest news and analysis on stock and bond offerings, as well as legislation and regulation pertaining to stock, bond, foreign exchange, and other capital markets. In addition to IPOs, follow-on offerings, and debt deals, it covers high-stakes litigation related to those offerings.
Kunz, who is located in the firm’s Detroit office, chairs Honigman’s Corporate Department and leads the firm’s Insurance Transactions Practice Group, focuses his practice on corporate transactional matters and client counseling, with a particular emphasis on the representation of publicly traded companies. He conducts domestic and international acquisitions, divestitures and joint ventures, capital raising, commercial contracts, and various regulatory and compliance matters. Kunz also has extensive experience representing public and private companies and their owners, directors and officers on a range of day-to-day issues, including corporate governance issues and compensation planning for key executives.
He has been recognized as one of the top Corporate/M&A attorneys in Michigan by Chambers USA: America’s Leading Lawyers for Business since 2003, by The Best Lawyers in America since 2005 and by Michigan Super Lawyers since 2007.
Kunz earned a J.D., magna cum laude, from the Harvard Law School and a B.S.E., summa cum laude, in industrial and operations engineering from the University of Michigan.
Torrence is Honigman’s office managing partner in Kalamazoo, chair of the firm’s Financial Institutions Practice, co-leader of its Securities and Corporate Governance Practice, and a partner in its Corporate Department. He represents public and private companies in a wide range of industries, including the medical device and life-sciences industries and the banking sector. Torrence counsels public and private companies in initial public offerings (IPOs) and direct public offerings (DPOs), confidentially marketed public offerings (CMPOs), as well as debt or hybrid securities secondary offerings of equity. He has handled more than 40 bank merger and acquisition transactions and more than 100 mergers and acquisitions in diverse industry sectors. Torrence has been recognized as one of the top Corporate/M&A attorneys in Michigan by Chambers USA: America’s Leading Lawyers for Business in 2014 and by Michigan Super Lawyer since 2009. He was honored by Michigan Lawyers Weekly in 2012 as one of 25 “Leaders in the Law” and by M&A Advisor as one of the top 40 under 40 legal advisors in 2014.
Torrence earned a J.D. from the University of Utah and a B.A. from Hope College.
