Brandon Jackson concentrates his practice on representing and advising health care providers and other businesses involved in the healthcare and life sciences industries, including medical device and pharmaceutical manufacturers, management service organizations (MSOs), dental support organizations (DSOs), physician practices, ambulatory surgical centers as well as hospitals/health systems. He counsels healthcare clients through the industry’s complex regulatory environment to help them maintain compliance with the laws and regulations that govern their day-to-day operations and impact their ability to scale through acquisitions, sale transactions, entity formations and development of effective compliance programs.

  • Represent healthcare industry clients and perform due diligence review, in connection with mergers, acquisitions, affiliations, and sale transactions
  • Served as lead counsel for divestment of multi-state dental management company with $750 million initial investment.
  • Represented private equity sponsor and portfolio company in sale of multi-state dental management company with $150 million initial investment
  • Healthcare regulatory advisor in sale of multi-state companies providing medical aesthetic services as well as add-on acquisitions of companies providing medical aesthetic services and ambulatory surgical centers
  • Advise healthcare providers and life science companies regarding compliance matters, including federal and state anti-kickback statutes, the Stark Law, the False Claims Act, and corporate practice of medicine and dentistry restrictions
  • Negotiate clinical trial agreements and other arrangements with clinical research organizations and study sites on the behalf of sponsors, study centers, investigators and medical device and pharmaceutical manufacturers
  • Advise on labeling, marketing, and proposed “off-label” activities and other materials for medical device and pharmaceutical companies with respect to FDA guidance and regulations
  • Draft and negotiate commercial contracts including health care payor and credentialing contracts, physician employment agreements, management service arrangements, medical director agreements, HIPAA business associate agreements, commercial leasing and information technology matters, including licensing agreements, hosting agreements, and software as a service agreements
  • Structured framework for developing an effective compliance program for medical device manufacturers, including drafting compliance policies and procedures, provide compliance education and training, advising on enterprise risk assessments, and implementing appropriate corrective actions
