Overview

Ben Kirschner focuses his practice on domestic and international transactional real estate matters. He has represented a broad range of clients in real estate transactions, including acquisitions, dispositions, development, leasing, joint ventures, and financings, with a concentration on healthcare and industrial transactions. Ben also has counseled clients on the real estate aspects of large private equity and corporate transactions.

Beyond his active legal practice, Ben has represented clients, pro bono, in a broad range of real estate matters, obtaining affordable financing, obtaining U-visas, and negotiating the repayment of Social Security overpayments. Prior to joining Honigman, Ben was a partner at a top 10 AmLaw ranked firm.

  • Represented Local MD Urgent Care in its acquisition of two urgent care facilities and entering into new leases*
  • Represented Frontida Biopharma, a company in the Adare Pharma Solutions group, in its sale and leaseback for two life sciences industrial properties*
  • Represented Local MD Urgent Care in leasing an urgent care facility*
  • Represented Steward Health Care System LLC in its acquisition of five hospitals and related hospital operations in Florida's Miami-Dade and Southern Broward counties for approximately US$1.1 billion*
  • Represented a healthcare system operator in the acquisition and redevelopment of a shuttered hospital*
  • Represented a healthcare system operator in the acquisition of a micro hospital*
  • Represented Kimberly-Clark Corporation in its lease of 1155 W. Fulton Ave. in the Fulton Market District of Chicago, IL.*
  • Represented a behavioral health operator (as an Eligible Independent Contractor) in its joint venture/lease with a REIT for the operation of 19 inpatient behavioral health hospitals*

  • Represented a real estate developer in the lease of an approximately 435,000 square foot industrial facility*

  • Represented a healthcare system operator in connection with numerous sale-leaseback, subleasing, hospital operations/physician group acquisition/disposition, development and loan transactions involving various hospitals, medical office buildings, and outpatient centers throughout the U.S. Two of such transactions resulted in awards for the transactional team, the 17th Annual M&A Advisor Awards – "M&A Deal of the Year" (US$1 billion – US$10 billion) and the 16th Annual M&A Advisor Awards – "Healthcare and Life Sciences Deal of the Year" (Over US$100 million)*
  • Represented a healthcare system operator in its recapitalization of its domestic operations and spinoff of its international operations into an independent physician- and REIT-owned joint venture*
  • Represented an automotive remarketing and technology services provider in the spinoff of its wholly owned US$5.1 billion salvage auction business, including the transferring of approximately 370 domestic and international properties and separating out commingled real estate interests for an additional 52 properties*
  • Represented a healthcare system operator in its US$240 million sale-leaseback of a portfolio of eight medical office buildings*
  • Represented a physician practice in its US$38 million sale-leaseback of a portfolio of nine medical office buildings*
  • Represented a client in separate acquisitions and related bridge financings of seven residential apartment complexes located in Texas, Oklahoma and Ohio*
